Welcome to OverstockBay. These Terms & Conditions govern your access and usage of our website, services and enquiry system. Please read carefully before you engage, browse, list inventory or communicate with any user through the platform.

1. Acceptance of Terms

By accessing or using the site of OverstockBay, you acknowledge that you have read, understood, and agree to comply fully with these Terms. If you do not agree, you should discontinue use. Continued access implies full and voluntary acceptance without reserve, limitation, claim or disagreement.

2. Nature of Business

OverstockBay operates as a connector platform for bulk and lot-based unsold inventory. The platform facilitates discovery, enquiries, direct communication and manual deal closures. OverstockBay is not a payment gateway, logistics handling service, courier partner or escrow system at the MVP phase.

3. User Registration & Responsibility

Users may register as either:

  • Lot Sellers (manufacturers, distributors, wholesalers, traders, retail stock holders)

  • Lot Buyers (bulk resellers, retail store owners, small wholesalers, offline traders, lot deal investors)

Users are fully responsible for:

  • Maintaining the confidentiality of their login details

  • Providing truthful data at the time of account setup

  • Ensuring that their shared contact number is active on services like WhatsApp, call and email

OverstockBay is not liable for:

  • Incorrect registration details entered by users

  • Unauthorized account access due to weak password misconduct

  • Misuse of login information by the user or any insider access provided willingly by them

4. Listings, Content & Inventory Data

All sellers listing inventory on OverstockBay must:

  • Share correct stock quantity, condition, damage information (if any), unit pricing expectation, lot classification details, storage address (city level), and product category

  • Upload only original product images, stock videos or samples owned by them

  • Ensure that content does not violate proprietary rights of any other business

  • Mention whether lots are factory-packed, open-box, returned, untouched, mixed-grade or tested

Users must not:

  • Upload manipulated, false, harmful, unlawful, stolen, copied or unverifiable inventory data

  • Create duplicate listings to mislead demand projections

  • Share malware-embedded HTML files, tracking scripts, unauthorized software or harmful executables within listings

OverstockBay reserves the right to:

  • Remove, restrict, disable or mark suspicious listings anytime without prior warning

  • Cap enquiry flow for users who misuse contact information on listings

  • Ask for business proof if doubts arise on lot ownership or existence

5. Enquiry System & Lead Handling

  • Buyers send enquiries, not orders.

  • Sellers receive buyer leads and close deals in person or via WhatsApp/call.

  • Enquiries should be genuine interest oriented and not business harming or personal data phishing activities.

  • Sellers may reach buyers manually via phone, WhatsApp or warehouse meetups.

  • Buyers acknowledges that the system gives contacts to sellers, not confirmed purchases.

OverstockBay is not responsible for:

  • Buyers changing interest after enquiry submission

  • Sellers failing to follow up on enquiries

  • Sellers requesting advance payments personally

  • Buyers or sellers misusing shared contact information exchanged after enquiry acceptance

  • Any deal that happens outside of OverstockBay platform panels

6. Transactions & Liability

Since OverstockBay is currently handling enquiries and connections manually:

  • We do not manage payments on behalf of users

  • We do not intervene in shipping or delivery disputes

  • Users transact directly at their own risk, accountability and decision

We are not liable for:

  • Any payment fraud, online scam, offline money loss, inventory damage after handover, stolen products, transport delay, service disagreement or any business or personal loss caused during independent buyer-seller transactions

  • Any business commitments made by either party outside OverstockBay statements

Suggestion for users:

Always meet or verify lot stock via warehouse visit or WhatsApp video before paying. This is a founder-recommended safe practice we encourage.

7. Platform Misuse

Users must not:

  • Engage in abusive language, harassment, scam threats, terror spreading, misinformation slander, business sabotage or forced deal pressure via the platform

  • Use the platform structure to mass spam, send manipulated misinformation or harm any seller or buyer entity

8. Mail Communication Rules

Users receiving inbox communication from OverstockBay may get emails via:

  • Security alerts via Zoho Mail

  • Domain reputation checks by inbox platforms like Yahoo or Gmail
    (Example tool logic may notify but transactions are not email-gated)

We do not tolerate:

  • Fake spam blasting

  • Blackhat forced email campaigns

  • Unauthorized inbox pressure lines

9. Intellectual & Digital Rights

  • All content on this site including the logo, platform copy, service descriptions, buyer interface text and banner structure is owned by OverstockBay.

  • Usage of our visuals, banners or logo on any platform must not misrepresent us.

  • Users can share screenshots or WhatsApp links at their own wish but can't claiming it as product ownership.

10. Termination & Restrictions

We may restrict accounts if:

  • Spam complaints hit threshold

  • Listings proven false

  • Abuse or threats occur

  • Unauthorized software injecting attempts occur

Restriction can be:

  • Temporary hold

  • Enquiry freeze

  • Access limited

  • Full deactivation

11. Third Party Tools & Integrations

To operate future analytics, domain reputation or performance insights, we may use services from:

  • AWS

  • image or performance CDN partners, analytics or security screening systems

  • data routing partners for uptime, future traffic load and enquiry-volume balancing

12. Terms Update & Notice

  • These terms may be expanded, refined or changed anytime.

  • No separate notification is guaranteed at free tier.

  • Important updates may reflect on the website itself.

13. Governing Law

All claims and usage of this platform is under laws of:

Any disputes shall be governed under laws of the country India and not overseas contract systems.
